Renounceable rights issue of up to 355,416,000 new ordinary shares in Naim Holdings Berhad ("Naim") ("Rights Shares") at the issue price of RM0.45 per Rights Share, on the basis of three (3) Rights Shares for every two (2) existing ordinary shares in Naim ("Naim Shares" or "Shares") held by the entitled shareholders as at 5.00 p.m. on 24 December 2018 ("Rights Issue")

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 20 Dec 2018
2)    The last date of lodgment : 24 Dec 2018
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<3/5>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <3/5>, of the Transacted Price is applicable.

Remarks:  The Abridged Prospectus, together with the Notice of Provisional Allotment and Rights Subscription Form in relation to the Rights Issue (collectively referred to as the "Documents") are only to be despatched to the shareholders whose names appear in Naim's Record of Depositors as at 5.00 p.m. on 24 December 2018 ("Entitled Shareholders") at their registered address in Malaysia or who have provided the share registrar, Tricor Investor & Issuing House Services Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 24 December 2018. The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue complies with the laws of any country or jurisdiction other than the laws of Malaysia. Entitled Shareholders who are without an address for the service of documents in Malaysia and wish to provide a Malaysian address, should inform their respective stockbrokers and the share registrar, Tricor Investor & Issuing House Services Sdn Bhd, to effect the change of address by 5.00 p.m. on 24 December 2018.
