Naim Holdings Berhad (the "Company" or "Naim") wishes to announce that its subsidiary, Naim Engineering Sdn. Bhd. ("NESB") has on 13 July 2015 acquired the following company:-
Upon acquisition, NESB will hold the entire issued share capital of Equaflow. Equaflow was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 10 April 2015. Equaflow has an authorized share capital of RM400,000 comprising of 400,000 shares whilst its issued and paid-up capital is RM2 comprising of 2 shares. Equaflow has not commenced business since incorporation. The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31 December 2015. None of the directors and/or shareholders of Naim and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
