Naim Holdings Berhad (the "Company" or "Naim") wishes to announce that its subsidiary, Naim Land Sdn. Bhd. ("NLSB") has on 6 May 2014 acquired the following company:-
Upon acquisition, NLSB will hold the entire issued share capital of BHSB. BHSB was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 7 April 2014. BHSB has an authorized share capital of RM400,000 comprising of 400,000 shares whilst its issued and paid-up capital is RM2 comprising of 2 shares. BHSB has not commenced business since incorporation. The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31 December 2014. None of the directors and/or shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
