Naim Holdings Berhad (the "Company" or "Naim") wishes to announce that its wholly-owned subsidiary, Naim Land Sdn. Bhd. ("NLSB") has on 18th November 2013 acquired the remaining 51% equity in the following company:-
Prior to the acquisition NLSB held 49% equity in SUNRSB and upon acquisition, NLSB shall hold the entire issued share capital in SUNRSB. SUNRSB was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 12 December 2005. SUNRSB has an authorized share capital of RM100,000 comprising of 100,000 shares whilst its issued and paid-up capital is RM1,000 comprising of 1,000 shares. SUNRSB is a dormant company. The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31 December 2013. None of the directors and/or shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
