Naim Holdings Berhad (the "Company" or "Naim") wishes to announce that its subsidiary, Naim Engineering Sdn. Bhd. ("NESB") has on 25 July 2013 acquired the following company:-
Upon acquisition, NESB will hold the entire issued share capital in STSB. STSB was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 2 July 2013. STSB has an authorized share capital of RM100,000 comprising of 100,000 shares whilst its issued and paid-up capital is RM2 comprising of 2 shares. STSB has not commenced business since incorporation. The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31 December 2013. None of the directors and/or shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition. This announcement is dated 25 July 2013 |
