Naim Holdings Berhad (the "Company" or "Naim") wishes to announce that its subsidiary, Naim Engineering Sdn. Bhd. ("NESB") has on 24^th December 2012 acquired the following company:-

Upon acquisition, NESB holds the entire issued share capital in UCSB.

UCSB was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 12^th September 2012.

UCSB has an authorized share capital of RM100,000 comprising of 100,000 shares whilst its issued and paid-up capital is RM2 comprising of 2 shares.  UCSB has not commenced business since incorporation.

The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31^st  December 2012.

None of the directors and/or shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
