Naim Holdings Berhad ("Naim") wishes to announce that its wholly-owned subsidiary, Naim Overseas Sdn. Bhd. (“NOSB”) has on 17 March 2010 subscribed for 999,998 ordinary shares of F$1.00 each in NAIM PREMIX (FIJI) LIMITED (NPL), a company incorporated under the Companies Act of Fiji. The amount of F$999,998 has not been paid. The return of allotment was received on 29 March 2010.

Following the subscription, NOSB holds 99.999% of the issued share capital of NPL.

NPL is a private limited company incorporated under the Companies Act of Fiji under the name of Corinna Limited on 28 February 2008. On 21 December 2009, it changed its name to Naim Premix (Fiji) Limited. It was incorporated with a paid up capital of F$2 of F$1.00 each and on 17 March 2010 it increased its capital to F$1,000,000 divided into 1,000,000 shares of F$1.00 each. NPL has not commenced operation.

The said acquisition will not have any material effect on Naim’s share capital, substantial shareholders’ shareholdings, earnings and net assets for the financial year ending 31 December 2010.

None of the directors and/or substantial shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
