Naim Holdings Berhad (“Company” or “Naim”) wishes to announce that its wholly-owned subsidiary, Naim Overseas Sdn. Bhd. (“NOSB”) has on 12 August 2009 acquired 999,999 ordinary shares of F$1.00 each representing 99.9999% of the issued and paid up share capital of in NAIM CENDERA ENGINEERING CONSTRUCTION LIMITED (“NCECL”), a company incorporated under the Companies Act of Fiji for which NOSB has paid cash for F$2.00 with the balance to F$999,997 to be paid by 25 September 2009.

NCECL is a private limited company incorporated on 25 November 2008 under the Companies Act of Fiji with a capital of F$1,000,000 divided into 1,000,000 shares of F$1.00 each. NCECL has yet to commence operation.

NCECL is 99.9999% owned by wholly-owned subsidiary NOSB whilst the balance 0.0001% of 1 share only is owned by Mr. Chong Lipe Hwat, a director of Naim’s subsidiary, Aktif Majusama Sdn. Bhd.

The said acquisition will not have any effect on Naim’s share capital, substantial shareholders’ shareholdings, earnings and net assets for the financial year ended 31 December 2009.

Save for Mr. Chong Lipe Hwat, none of the directors and/or substantial shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
