The Board of Directors of the Company is pleased to announce that the Group has incorporated a company under the Companies Act, Chapter 39 of Negara Brunei Darussalam under the name NAIMCENDERA ENGINEERING & CONSTRUCTION SENDIRIAN BERHAD (“NECSB”) to carry on the business of engineering works, builders, contractors for construction of property and trading of building materials.

Approval from the Registrar of Companies for the registration of NECSB was dated 20 May 2009. However, the registration documents were received on 13 July 2009.

NECSB has an authorized capital of B$100,000.00 divided into 100,000 ordinary shares of B$1.00 each and paid-up capital of B$2.00.

NECSB is 50% owned by wholly-owned subsidiary NCSB Engineering Sdn. Bhd. (“NESB”) and 50% owned by a director of NESB, Tuan Haji Radzali Bin Haji Alision.

The above formation of new company has no material effect on the earnings, net assets and gearing of the Group for the financial year ending 31 December 2009.

Save for Tuan Haji Razali Bin Haji Alision, none of the directors or major shareholders of the Company or persons connected with them, has an interest, direct or indirect, in the said formation of company.
